Overview

Miller Thomson’s Shareholder Disputes Group has extensive experience in representing shareholders in disputes concerning breach of contract, breach of fiduciary duty, business dissolution, fraud, shareholder oppression and valuation.  The members of the group include litigation, corporate and tax lawyers who work closely together to obtain the best possible results for clients.  Our corporate and tax lawyers provide continuing long term advice to our clients.  Our litigation lawyers have successfully litigated shareholder disputes and related urgent injunctions before Courts and at private arbitrations across Canada.

Our clients include both public and private corporations ranging from large public companies to incorporated partnerships.  Our lawyers have advised and represented corporations as well as both majority and minority shareholders with respect to shareholder disputes, claims under the oppression sections of the business corporations acts and derivative actions. The lawyers within our Group have also written and lectured on various aspects of corporate oppression, including limitations act issues, interaction with insolvency law, director and officer liability, estate freezes and other issues.
